2. Office and Duties. Employee shall fit the position as applied and shall have duties normally
ascribed to those position and as assigned to him by the Company from time to time in sole
discretion. Employee shall act at all times to promote the Company’s business and best
interest. Employee shall devote substantially all business time, labor, skill, undivided attention
and best ability to the performance of his duties hereunder in a manner, which will faithfully
and diligently further and expanding the business and interests of the company.
3. Termination of Employment. Notwithstanding any other provision of this Agreement,
Employee’s employment shall terminate on the death of the Employee and may be terminated
by the Company, as follows;
(a) In the event of Employee unable to meet up with His/her WORK PERMIT FEE which
will not be covered by the company Sponsorship as it would be required by the

willing to live and be eligible to work in United Kingdom, employee would be

hereunder or the manner of rendering such services, willful misconduct in the
performance of his duties hereunder, or conviction of a crime involving moral turpitude.
PART B.
EMPLOYMENT, CONFIDENTIAL INFORMATION AND
INVENTION ASSIGNMENT AGREEMENT
As a condition of your employment with GREENS HORTICULTURES LTD, its subsidiaries,
affiliates, successors or assigns (together the “Company”), and in consideration of my
employment with the Company and my receipt of the compensation now and he rafters paid to
me by company, I agree to the following:
1. At-Will Employment. I understand and acknowledge that my employment with the
company is for an unspecified duration and constitutes “at-will” employment. I
acknowledged that this employment relationship may be terminated at any time, with or
without good cause or for any or no cause at the option either of the company or me, with
or without notice.
2. Confidential information.
(A) Company Information. I agree at all times during the term of my employment and
thereafter, to hold in strictest confidence, and not to use, except for the benefit of
the company, or to disclose to any person, firm or corporation without written
authorization of the Board of Directors of the Company, any Confidential
information of the Company. I understand that “Confidential information” means
any company proprietary information, technical data, trade secrets or know-how,
including, but not limited to research, product plans, services, customer lists and
customer (including, but not limited to, customers of the company on whom I called
or with whom I became acquainted during the term of my employment), markets,
software, developments, inventions, invention, processes, formulas, technology,
designs, drawings, engineering, hardware configuration information, marketing,
finances or other business information disclosed to me by the Company either
directly or indirectly in writing, orally or by drawings or observation of part or
equipment. I further understand that confidential information does not include any
of the foregoing items that have become publicly known and made generally
available through no wrongful act of mine or of others who were under

reasonable assistance obtaining an order to protect the confidential information
from public disclosure.

secrets of any former or concurrent employer or other person or entity and that I
will not bring into the premises of the company any unpunished document or

consorted to in writing by such employer, person or entity.
(b) Third Party Information. I recognized that the company has received and in the future

This is to certify that I do not have in my possession, nor have I failed to return, any software,

GREENS HORTICULTURES LTD, its subsidiaries, affiliates, successors or assigns
(together the “Company”).
I further certify that I have complied with all the terms of the Company’s Employment,
confidential information and invention assignment agreement sign by me, including the
reporting of any inventions and original works of authorship (as define therein), conceived or
made by me (solely or jointly with others) covered by that agreement.
I further agree that, in compliance with the Employment, Confidential information and
Invention Assignment Agreement, I will preserve as confidential all trade secrets, confidential
knowledge, data or other proprietary information relating to products, processes, know-how,
designs, formulas ,development or experimental work, computer programs, data bases, other
original work of authorship, customer list, business plans, financial information or other
subject matter pertaining to any business of the Company or any of its employees, clients,
consultants or licensees. I further agree that for twelve (12) months from this date, to the extent
permitted by law, I will not hire any employees of the Company and I will solicit, induce,
recruit or encourage any of the Company’s employees to leave their employment.
I further agree that for twelve (12) months from this date, to the extent permitted by law, I will
not either directly or indirectly engage in ( whether as an employee, consultant, proprietor,
partner, director or otherwise), or have any ownership interest in, or participate in the
financing, operation, management or control of any person, firm, corporation or business that
engages during the term of my employment or in which, during the term of my employment,
