Dalian Machine Tools would like to thank you for considering our offer to be the company's representative in your region by becoming a part of our organization. We are a major player in the manufacture and fabrication of global industrial machines, Due to the ever-increasing demands for our products and services and the need for expansions into new markets. we currently have openings for managers and accountants in your country, they will be in charge of all our dealings till we are able to open show rooms and employ additional staffs. Presently we do not have an organized setup in your country; this is why we require the services of managers and accountants to assist in Sales and Distributions of our products, processing of accounts receivables from the sales made, paying commissions to our agents and marketers, travelling for inspection of products for delivery purposes and reconciliation of accounts with our customers in your country. We also intend to make provisions for more locations by next quarter to help market our products in other cities and would require capable managerial staffs on full and part time basis. I also acknowledge receipt of your application and look forward to having you on board soon.

We currently have a handful of customers in Canada and United States, after thoroughly considering your application and successfully approving your employment as our manager / representative, these customers will be brought together under your supervision and your ability to coordinate with them will form the basis of your work with us. Their business dealings will be channeled through you for efficient and timely response to new and existing orders. Please note that your job presently does not require travelling, but when the need for travelling arises, you will be notified and all cost will be covered by our firm. As it stands all you need to do is dedicate a couple of hours daily to correspond with our customers via email and phone. Your monthly salary will be Five thousand dollars ($5,000) for the first six months of your employment with us. Within this period you will be given a grant for market research and to set up a new office / show room in your city, you will be directly responsible for hiring new staffs to fill vacant positions in the office / show room.

Memorandum of Understanding

This Memorandum of understanding is designed this day January 29th

, 2018 to define the relationship and agreement between
(Dalian Machine Tools Limited) and (). And this document "Signatory" will act as legal
agreement/instrument of specifying responsibilities and accountability procedures between both parties.
WHEREAS: “”, Regional Manager for Canada/USA hereinafter referred to as "Manager / Representative",
WHEREAS: “Dalian Machine Tools Ltd customers hereinafter referred to as "Clients" WHEREAS “Dalian Machine Tools Ltd
and the Manager / Representative may individually be referred to as a "Party" and collectively as "Parties".
Dalian Machine Tools Ltd is placing its “clients” trust and funds in the care of the “Manager / Representative”, both parties are
providing guidelines and procedures that will promote the success of business and deliver accountability to all.
Agreement:
• Dalian Machine Tools Ltd and Manager / Representative sign this M.O.U and agree to work together in good faith.
• The Manager / Representative must maintain records of customers, sales and payments made professionally.
• The Manager / Representative must relay all information from clients to Dalian Machine Tools Ltd.
• The Manager Communicates and work towards the growth of both parties with mutual respect and integrity, Respects
clients wishes, but confides in Dalian Machine Tools Ltd for directives.
• Mangers / representatives shall be in charge of all Dalian Machine concerns, business interest and dealings in Canada.
• Remit 95% of funds collected from sales made and payment received from our clients to Dalian Machine Tools Ltd or
its associates / affiliates without delay in accordance with the principal’s instructions and directives.
• Participate in progressive meetings annually with the company executives and other Manager / Representatives. “All
traveling expenses and accommodation is the sole responsibility of Dalian Machine Tools Ltd. Both parties recognize
our common goals to the remittance of payment from clients to Dalian Machine Tools Ltd, an 5% bonus pay will be
made available to the Manager / Representative on completion of every sales and remittance transaction.
• Payment of $5,000USD Monthly Remuneration to the Manager / Representative by Dalian Machine Tools Ltd at the
end of each month and more funds will be made available for the lease of an office / showroom by the manager.
• To admit that all money received from or paid to the principal’s customers are not owned by the Manager.
• M.O. U shall be revisited after six months of operations for modification based on the proficiency of the Manager.
• Bank charges (transfer fees, tax, etc) and any expenses accumulated shall be deducted from the 95% before
disbursement to Dalian Machine Tools Ltd or any individual/company as required by Dalian Machine Tools Ltd.
This agreement shall be reviewed annually and continued, unless terminated by either party by written notice Ten (10) days
prior to the date of termination. Both parties have reviewed this M.O.U and agreed to adhere to the information(s) specified in
this Memorandum of understanding.
