EXPATRIATE TECHNICAL SERVICES PROVISION AGREEMENT
THIS AGREEMENT OF UNDERSTANDING is made this Day of 17th JULY, 2011, between The (Employee) and HIOS PETROLEUM GREECE which expression and context so admits as first party (hereinafter referred to specifically as Employee and Hios Petroleum SA Greece the Employer as second party
ARTICLE 1.
HIOS PETROLEUM SA GREECE desires to secure the services of a competent employee to provide expatriate environmental services and others as specified to the employee, the contractor employed.
1.1 CONTRACTOR (Employee) represents to HIOS PETROLEUM SA GREECE; that he/she has the technical competence necessary and required for carrying out all the services, duties and obligations specified and entitled in this contract accordance and with the terms and conditions hereinafter set forth.
ARTICLE 2: CONTRACT PERIOD
The contract period shall be for Contract duration: The contract shall last for duration of 24 consecutive months; (2) Years and could be renewed only if employer is satisfied with employee's services.
ARTICLE 3: FEES FOR SERVICES AND TERMS OF PAYMENTS
3.1 HIOS PETROLEUM SA GREECE shall pay CONTRACTOR (Employee) on satisfactory performance of the services stated in Article 1, the sum of € 11,430 Eleven Thousand Four Hundred And Thirty (take home and after tax)
3.2 HIOS PETROLEUM SA GREECE shall pay for services rendered in Article 1 by cheque presented on a monthly basis at the rate stated in Article 3.1.
3.3 Payments of undisputed invoices will be made HIOS PETROLEUM SA GREECE to the Employee monthly.
3.4 HIOS PETROLEUM SA GREECE shall pay all of the fees in Article 3.1totaly in Euro ,GBP or US dollars equivalent depending on employees’ home country and current conversion rate and shall be paid; 100% to an account as may be provided by contractor (Employee) “
ARTICLE 3A: JOB PROCEEDING/REQUIREMENT
3A.1 (A) All employees successfully screened and recruited for the HIOS PETROLEUM SA GREECE New employed and recruited expatriate for HIOS PETROLEUM SA (And not presently possessing a valid GREEK and EU Employment Insurance Certificate (EIC) according to the new EU Expatriate recruitment Act 307 section 6 Sub-section VII of the European Union shall be expected to personally incur the expenses as a foreigner, for procurement and acquisition of their necessary permits clearance papers with the Immigration Attorney (BARRISTER : EDWARD VAN LUEWEEN OF VAN CHAMBERS) and shall be duly reimbursed and will be substantiated with receipts and the employer will reimburse the employee not later than Five (5) working days after submission of employee’s expense report and receipts.
Get the necessary documents, in less than 3 business days from a licensed immigration attorney and you shall be required to furnish us with your Employment Insurance Certificate (EIC) on before Ten (10) working days and make an official report to the COMPANY with your International Passport copy’s data page to enable HIOS PETROLEUM SA to process your Travel ticket, Work Visa / Residence, Work Permits on your behalf as a proof of readiness to join the HIOS PETROLEUM SA project team in the due time as stipulated above for your job resumption with the HIOS PETROLEUM SA in GREECE and also to enable you receive your upfront monthly salary including your due entitlements/emoluments prior to your departure for services with the HIOS PETROLEUM SA IN GREECE. However, for expatriate services employees who do not presently posses His/her Employment Insurance Certificate (EIC), they are to consult with Expatriate and Immigration documents acquisition Attorney (BARRISTER: EDWARD VAN LUEWEEN OF VAN CHAMBERS) for directives and assistance on the acquisition.
3.4(b) The employee will be reimbursed by the employer for reasonable moving expense incurred only as a result of relocation or early termination of leases, storage charges; procurement of travel documents (flight tickets), immunizations etc. Reimbursements shall be made before employees embark on journey not later than Five (5) working days after submission of employee’s expense report and receipts, this after the acquisition of relevant traveling papers through their local representatives assistance from the Immigrations/Internal affairs ministry in Greece.
3.4(c) Employer (HIOS PETROLEUM SA GREECE) for each intercontinental trip shall pay EURO 3,520.00 flat rate travel/entertainment allowance to employee. Travel shall be by business class/first class.
However for the purpose of commencement, the cost of travel ticket shall be paid in addition to travel/entertainment allowance. Cost shall be substantiated and shall be the rate charged at the Period/time of purchase.
3.4(d) Employer shall also take care of employees' travel ticket including that of employees' family only on employees' early notification to employer and as shall be requested by employee.
3.5 PLEASE NOTE: CONFIRMED EMPLOYEES
Confirmed employees are those employee’s that have successfully acquired and forwarded his/her necessary permits clearance papers to the employers’ management-duly certified by the Greek Immigration/ Travel Agent by possessing their Valid work and residence permit. Only Then Shall they be entitled to article 3.0-3.4 &7.0 below.
3.6 OTHER BENEFITS

Phones: the employer will provide each employee with one
(1) landline and one (1) mobile telephone. This shall have a reasonable credit limit application per month.
Local transportation: Shall be fully provided for employee and family by employer.
Adequate private office space in a conducive and comfortable work environment shall be provided for each employee.
Employees’ shall be authorized three (4) times paid vacation during the 4years term of the contract, to be used at the employees ‘discretion after duly informing and receiving approval from employer’s management. Employer will pay for travel expenses (i.e. flight tickets) and flat rate travel allowance of EURO 4,520.00.
Employer will provide the employee with comprehensive health care for the term of contract, and follow-on care for injuries suffered during the term of contract for employee and family
The first monthly salary shall be paid in advance before (employees) embark on journey from his country to assume duty. (This is after employee must have acquired and forwarded his/her necessary GREEK AND EU EXPARTRIATE clearance papers to the employers’ management-duly certified by the Greece Expatriate Services through the directed and appointed Attorney as failure to adhere to the above stated will result to the cancellation of your contract and appointment), it shall also be accompanied with reimbursement of expenses incurred while processing the Greece Work and Residence permit after contractor have personally incur the expenses of his/her Expatriate Insurance Certificate.
This is to enable Contractor settle all domestic needs before travel as such no excuses will be entertained on assumption of duty relating to default. All payment of Salary after assumption of duty in Athens Greece shall be 100% paid into an account to be provided by employee or employer upon arrival to Athens Greece.
The contract shall last for duration of Four (4) consecutive years and could be renewed only if employer is satisfied with employee's services.
Prior to resumption as inscribed above, you shall also be expected to start your job processes by acquiring and procuring your necessary GREEK and EU Employment Insurance Certificate (EIC) on or before 12th of June 2011 as a sign of your readiness in joining the project/working team to enable you receive all your due entitlements/ emoluments prior to resumption of duty to enable you settle all domestic necessities before embarking on project trip and avoidance of excuses leading to delays on your end as per duty discharge. This is to enable us ascertain and confirm serious expatriate willing to work with us as many expatriates, after securing their travel papers, end up declining the offer and thereby incurring lose to HPG.
ARTICLE 4: GENERAL ADMINISTRATION AND MANAGEMENT/OTHER BENEFITS
4.1 Unless otherwise stated in a superseding document, the Contract Administrator of HIOS PETROLEUM SA GREECE; shall maintain general administration and management of the project and all progress reports should be addressed by HIOS PETROLEUM SA GREECE.
ARTICLE 5: ASSIGNMENT
5.1 The EMPLOYEE shall not assign or transfer any or all of its rights, responsibilities or obligation under this Agreement without the prior written consent of Hios Petroleum SA Greece, which consent shall not be unreasonably withheld. However, Hios Petroleum SA Greece shall be entitled without such consent to assign the transfer of any or all of its rights, responsibilities, obligations and liabilities under this Agreement to any affiliate of Hios Petroleum SA Greece or its co-venture subject to prior written notification.
ARTIC LE 6: INDEMNITY
The EMPLOYEE agrees to indemnify and hereby indemnifies Hios Petroleum SA Greece in respect of all third party claims arising from the performance of this contract.
ARTICLE 7: FORCE MAJEURE
7.1 Notwithstanding anything herein stated, neither party should be considered in default in the performance of its obligations under this Agreement as a result of Force Majeure.
The term "Force Majeure" shall include but not limited to Act of God, War, Nationwide strike, Lockout, Riot and Civil commotion. A strike or Lockout embarked upon by only the EMPLOYER’S personnel shall not be deemed to be included in this term.
7.2 If an interruption of work occurs as a result of "Force Majeure" for up to seven (7) days, 70% of the basic daily fees shall be paid as standby.
However, if such suspension results in CONTRACTOR/EMPLOYER not being able to perform its duties for more than seven (7) days, then Hios Petroleum SA Greece may at its option elect to continue the implementation of this Agreement at adjusted standby rates to be negotiated by Hios Petroleum SA Greece and CONTRACTOR/EMPLOYER or to terminate the contract.
ARTICLE 8: TERMINATION
8.1 This Agreement may be terminated: -
(i) If the services stated in Article 1 and are not rendered satisfactorily.
(ii) If the duration of the Agreement stated in Article 2 expires and no extension has been given.
(iii) Under Force Majeure as stated in Article 7.0
ARTICLE 9: DEFAULT OF CONTRACTOR
9.1 In the event of default by CONTRACTOR or non-compliance by EMPLOYER with the terms and conditions of this Agreement, Hios Petroleum SA Greece shall give notice to EMPLOYER specifying areas of default and EMPLOYER shall have ten (10) calendar days to rectify to Hios Petroleum SA Greece satisfaction, the said default(s). If EMPLOYER does not rectify Hios Petroleum SA Greece satisfaction, the said default(s) within ten (10) days of receipt of the notice, Hios Petroleum SA Greece may proceed with termination of this Agreement subject only to settlement of all payments due and outstanding at the time of termination.
ARTICLE 10: ADDRESSES FOR NOTICE
All notices and other communication required to be given hereunder by one party to the other shall be in writing and shall be sufficiently given if sent by post, faxed or delivered by hand to the addresses hereunder.

Notice shall be deemed to have been properly given if delivered by hand or registered post, fourteen (14) days after dispatch or postage.
ARTICLE 11: ENTIRE AGREEMENT
This Agreement embodies the entire understanding of the parties hereto and any prior representation or arrangements are hereby superseded.
ARTICLE 12: ATTESTATION
AS WITNESS, the hands of the duly authorized representatives of the parties, the day and year first above written;

ORAL MODIFICATIONS NOT BINDING. This instrument is the entire agreement of the Hios Petroleum and the Employee. Oral changes have no effect. It may be altered only by a written agreement Signed by the party against whom enforcement of any waiver, change, modification, extension, or discharge is sought.

Due to the high rise of contract break up in EUROPE, the management has made it mandatory that every prospective employee who wishes to work with us must first procure an Employment Insurance Certificate (EIC) with regards to the EU expatriate law from Attorney (BARRISTER : BARRY EDWARD VAN LUEWEEN ) after consultation, the terms of contract therein till the end of its duration before the management can go ahead and secure the Employment Insurance Certificate (EIC) of the successful applicant; Get the necessary documents, in less than 3 business days from a licensed immigration attorney,
HIOS PETROLEUM SA will bear only the work Visa / Residence, Work Permits and Travel Ticket expenses.
This is coming as a result of high rise in the number of employee's that decamp their duty post and end their contract without prior notice of us.
Procurement of this Employment Insurance Certificate (EIC) will further highlight you have accepted to honor the contract till its expiration.
