Memorandum of Understanding

This Memorandum of Understanding (MOU) is made and entered into as of April 11th 2015, by and between the Fundsforngos.org and XXX of XXX.

Preamble: Fundsforngos.org and Mr. Fanciullo Ábusante have entered into a Lender Agreement, where Fundsforngos.org will be granting XXX the sum of USD 1,500,000,00 as investment financial loan obtained in our ongoing Investment Funding Program for the year 2015.

WHEREAS, in support of a global initiative to expand access to finance, resources, and skills for NGOs, individuals and entrepreneurs, Fundsforngos.org lunched an Investment Funding Program where eligible applicants can acquires funds up to One Billion U.S Dollars for various investment and business purposes. In this program, XXX (Borrower) has been verified eligible as an applicant, and will be approved the above mentioned sum as loan upon agreement and authorized signatory of this Memorandum of Understanding.

Insurance Policy, as a result of this MOU, Fundforngos.org will based on the terms and conditions agreed upon by both parties; proceed to finalizing this loan process by ensuring the borrower XXX insures the loan funds with us before it can be transferred to the designated account provided by the borrower. Also as a result of this MOU, the borrower XXX is advised to abide strictly to the terms and conditions of this loan.

Outstanding Principal – The principal loan balance may fluctuate over time based on established annual payments, unpaid interest, and any voluntary payments directed to the balance by the Borrower. At the end of the term of this loan, the entire balance of the loan must be paid in full.

Loan Period – The repayment period of the entire loan will be for a period of 20years. However, if you at any point wish to repay this loan before the period stated on the loan terms, you are to notify the company 30days before the contract termination date. Please note that this loan must be returned within a 20years period and no grace period will be given except you (borrower) wishes to renew the contract.

Grace Period – This loan comes with a One Year grace period. This means that, we will start charging interest one year after you have received the loan, and your repayments will be made yearly as agreed and stated on the loan terms and conditions.

Variable Interest Rate – This loan was offered at a fixed interest rate of 5%, and it will be fixed throughout the loan period. But please note that failure to meet with repayments at the stipulated time may result in increasing the interest rate of this loan, and continuous defaults may result in the termination of the loan contract and the principal amount returned in full.

Revenue Pledges – Borrower (XXX) hereby makes an irrevocable commitment to cover all interest expense charged to the loan and commit to annual loan payments until the loan is paid in full. Payments for interest and principal will be made on an annual basis from allowable funds. In the event the pledged resources subsequently are unavailable, other allowable resources will be the next source of repayment for the loan, with the expectation that other operations of the Borrower will be curtailed to ensure scheduled principal loan payments.

Annual Debt Service

Repayment will consist of payments in *USD including a final payment due in 20 years’ time. The borrower acknowledges that due to the variable interest rate that may arise due to failure to meet with payments at the stipulated time, the final payment amount may be higher or lower than the prior annual payments.

THEREFORE, The borrower XXX agrees to make payments to any account(s) or representative(s) provided by the lender (fundsforngos.org) within the 20years period of this loan contract until the loan is fully repaid.

Acceptance
