This agreement of understanding is made today, February 09, 2019, between The (Employee)
and FORAMEX PETROLEUM AND CONSTRUCTION (Employer) which expression and context so
admits as first party (hereinafter referred to Specifically as Employee and FORAMEX PETROLEUM
AND CONSTRUCTION (FPC) the Employer as second party.
ARTICLE 1
FORAMEX PETROLEUM AND CONSTRUCTION (FPC) desires to secure the services of a
competent employee to provide expatriate services and others as specified to the employee, the
contractor employed.
1.1 CONTRACTOR (Employee) represents to FORAMEX PETROLEUM AND CONSTRUCTION; that
he/she has the technical competence necessary and required for carrying out all the services,
duties and obligations specified and entitled in this contract in accordance and with the terms
and conditions hereinafter set forth.
ARTICLE 2: CONTRACT PERIOD
The contract period: The contract shall last for a duration of 48 consecutive months; (4) Years and
could be renewed only if employer is satisfied with employee's services.
ARTICLE 3: FEES FOR SERVICES AND TERMS OF PAYMENTS
3.1 FORAMEX PETROLEUM AND CONSTRUCTION shall pay CONTRACTOR (Employee) on
satisfactory performance of the services stated in Article 1, the sum of €12,550 - Twelve
Thousand Five Hundred And Fifty (take home and after tax) FORAMEX PETROLEUM AND
CONSTRUCTION (FPC) shall pay for services rendered in Article 1 by cheque presented on
a monthly basis at the rate stated in Article 3.1.
3.2 Payments of undisputed invoices will be made by FORAMEX PETROLEUM AND
CONSTRUCTION (FPC) to the Employee Monthly.
3.3 FORAMEX PETROLEUM AND CONSTRUCTION (FPC) shall pay all of the fees in Article 3.1
totally in Euro, GBP or US Dollars equivalent depending on employees’ home country and current
conversion rate and shall be paid; 100% to an account as may be provided by contractor (Employee)

ARTICLE 3A: JOB PROCEEDING/REQUIREMENT
3A.1 (A) All employees successfully screened and recruited, or newly employed and recruited
expatriate for FORAMEX PETROLEUM AND CONSTRUCTION (FPC), that are not presently
possessing a valid GERMAN BLUE CARD and EU Expatriate Clearance Certificate (EU-ECC)
according to the new EU Expatriate recruitment Act 307 section 6 Sub-section VII of the
European Union shall be expected to personally incur the expenses as a foreigner, for
procurement and acquisition of their necessary expatriate permits clearance papers with the
assigned Immigration Consultant Firm ; Marcozia Immigration Law Firm , and shall be duly
reimbursed and will be substantiated with receipts. The employer will reimburse the employee not
later than Five (5) working days after submission of employee’s expense report and receipts.
As you get the necessary documents, in less than 6 business days from a licensed immigration
attorney and you shall be required to furnish us with your EU Expatriate Clearance Certificate
(EU-ECC) on or before Ten (10) working days and make an official report to the FORAMEX
PETROLEUM AND CONSTRUCTION (FPC) RESOURCE DEPARTMENT with your International
Passport copy’s data page to enable FORAMEX PETROLEUM AND CONSTRUCTION to process
your Travel ticket, Blue Card , Work Visa / Residence, Work Permits on your behalf as a proof of

your readiness to join FORAMEX PETROLEUM AND CONSTRUCTION working team in the due
time as stipulated above for your job resumption with the FORAMEX PETROLEUM AND
CONSTRUCTION and also to enable you be entitled as an accredited and vetted employee to
receive your upfront monthly salary including your due emoluments prior to your departure for
services with the FORAMEX PETROLEUM AND CONSTRUCTION.
3A.2 The employee will be reimbursed by the employer for reasonable moving expense incurred only
as a result of relocation or early termination of leases, storage charges; procurement of travel
documents (flight tickets), immunizations etc. Reimbursements shall be made before employees
embark on journey not later than Five (5) working days after submission of employee’s expense
report and receipts, this after the acquisition of relevant traveling papers through their local
representatives assistance from the Immigrations/Internal affairs ministry in Germany.
3A.3 Employer (FORAMEX PETROLEUM AND CONSTRUCTION) for each intercontinental trip shall
pay EURO 2,520.00 flat rate travel/entertainment allowance to employee. Travel shall be by
business class/first class. However for the purpose of commencement, the cost of travel ticket shall
be paid in addition to travel/entertainment allowance. Cost shall be substantiated and shall be the
rate charged at the Period/time of purchase.
3A.4 Employer shall also take care of employees' travel ticket including that of employees' family
only on employees' early notification to employer and as shall be requested by employee.
3.4 PLEASE TAKE NOTE: CONFIRMED EMPLOYEES
Confirmed employees are those employee’s that have successfully done their credentials vetting,
acquired and forwarded his/her necessary EU Expatriate Clearance Certificate (EUECC) clearance
papers to the employers’ management-duly certified by the GERMAN Expatriate Immigration by
possessing their Valid Expatriate Clearance Certificate (VECC). Only Then Shall they be entitled to
upfront payment and terms of article 3.0-3.4 &7.0 below.
3.5 OTHER BENEFITS

telephone. This shall have a reasonable credit limit application per month.
Local transportation: Shall be fully provided for employee and family by employer.
Adequate private office space in a conducive and comfortable work environment shall be provided
for each employee.
Yearly Vacation:
Employees’ shall be authorized two (2) times paid vacation in (1) one year for 28days period each
per year during the 4years term of the contract, to be used at the employees ‘discretion after duly
informing and receiving approval from employer’s human resources management. Employer will pay
for travel expenses (i.e. flight tickets) and flat rate travel allowance of EURO 2,520.00.
Employer will provide the employee with comprehensive health care for the term of contract, and
follow-on care for injuries suffered during the term of contract for employee and family.

The first monthly salary shall be paid in advance before (employees) embark on journey from his
country to assume duty after employee have successfully procured his/her EUECC and completed
his/her credential vetting. (This is after employee must have acquired and forwarded his/her
necessary GERMAN AND EU EXPARTRIATE CLEARANCE CERTIFICATE to the employers’
management-duly certified by the German Expatriate Services through the directed and appointed
Attorney as failure to adhere to the above stated will result to the cancellation of your contract and
appointment invalidation), it shall also be accompanied with reimbursement of expenses incurred
while processing the European Expatriate Clearance Certificate after contractor have personally incur
the expenses of his/her Expatriate Clearance Certificate processing and credential vetting and
certification.
This is to enable Contractor settle all domestic needs before travel as such no excuses will be
entertained on late assumption of duty relating to default. All payment of Salary after assumption of
duty in FORAMEX PETROLEUM AND CONSTRUCTION Germany shall be 100% paid into an account to
be provided by employee or employer upon arrival to Germany.
The contract shall last for duration of Four (4) consecutive years and could be renewed only if
employer is satisfied with employee's services.
Prior to resumption as inscribed above, you shall also be expected to start your job processes by
acquiring and procuring your necessary GERMAN and EU Expatriate Clearance Certificate (EU-ECC)
on or before 24 th February, 2019 as a sign of your readiness in joining the working team to
enable you receive all your due entitlements/ emoluments prior to resumption of duty to enable you
settle all domestic necessities before embarking on job trip and avoidance of excuses leading to
delays on your end as per duty discharge. This is to enable us ascertain and confirm serious
expatriate willing to work with us as many expatriates, after securing their travel papers, end up
declining the offer and thereby incurring lose to FORAMEX PETROLEUM AND CONSTRUCTION.
ARTICLE 4: GENERAL ADMINISTRATION AND MANAGEMENT/OTHER BENEFITS
4.1 Unless otherwise stated in a superseding document, the Contract Administrator of FORAMEX
PETROLEUM AND CONSTRUCTION; shall maintain general administration and management of the
project and all progress reports should be addressed by FORAMEX PETROLEUM AND
CONSTRUCTION.
ARTICLE 5: ASSIGNMENT
5.1 The EMPLOYEE shall not assign or transfer any or all of its rights, responsibilities or obligation
under this Agreement without the prior written consent of FORAMEX PETROLEUM AND
CONSTRUCTION, which consent shall not be unreasonably withheld. However, FORAMEX
PETROLEUM AND CONSTRUCTION shall be entitled without such consent to assign the transfer of
any or all of its rights, responsibilities, obligations and liabilities under this Agreement to any affiliate
of FORAMEX PETROLEUM AND CONSTRUCTION or its co-venture subject to prior written notification.
ARTICLE 6: INDEMNITY
The EMPLOYEE agrees to indemnify and hereby indemnifies FORAMEX PETROLEUM AND
CONSTRUCTION in respect of all third party claims arising from the performance of this contract.
ARTICLE 7: FORCE MAJEURE
7.1 Notwithstanding anything herein stated, neither party should be considered in default in the
performance of its obligations under this Agreement as a result of Force Majeure.
The term "Force Majeure" shall include but not limited to Act of God, War, Nationwide strike,
Lockout, Riot and Civil commotion. A strike or Lockout embarked upon by only the EMPLOYER’S
personnel shall not be deemed to be included in this term.
7.2 If an interruption of work occurs as a result of "Force Majeure" for up to seven (7) days, 70% of
the basic daily fees shall be paid as standby.
However, if such suspension results in CONTRACTOR/EMPLOYER not being able to perform its duties
for more than seven (7) days, then FORAMEX PETROLEUM AND CONSTRUCTION may at its option
elect to continue the implementation of this Agreement at adjusted standby rates to be negotiated

by FORAMEX PETROLEUM AND CONSTRUCTION and CONTRACTOR/EMPLOYER or to terminate the
contract.
ARTICLE 8: TERMINATION
8.1 This Agreement may be terminated:
(1) If the services stated in Article 1 and are not rendered satisfactorily.
(2) If the duration of the Agreement stated in Article 2 expires and no extension is given.
(3) Under Force Majeure as stated in Article 7.0
ARTICLE 9: DEFAULT OF CONTRACTOR
9.1 In the event of default by CONTRACTOR or non-compliance by EMPLOYER with the terms and
conditions of this Agreement, FORAMEX PETROLEUM AND CONSTRUCTION shall give notice to
EMPLOYER specifying areas of default and EMPLOYER shall have ten (10) calendar days to rectify to
FORAMEX PETROLEUM AND CONSTRUCTION satisfaction, the said default(s). If EMPLOYER does not
rectify FORAMEX PETROLEUM AND CONSTRUCTION satisfaction, the said default(s) within ten (10)
days of receipt of the notice, FORAMEX PETROLEUM AND CONSTRUCTION may proceed with
termination of this Agreement subject only to settlement of all payments due and outstanding at the
time of termination.
ARTICLE 10: ADDRESSES FOR NOTICE
All notices and other communication required to be given hereunder by one party to the other shall
be in writing and shall be sufficiently given if sent by post, faxed or delivered by hand to the
addresses hereunder.

Notice shall be deemed to have been properly given if delivered by hand or registered post, fourteen
(14) days after dispatch or postage.
ARTICLE 11: ENTIRE AGREEMENT
This Agreement embodies the entire understanding of the parties hereto and any prior
representation or arrangements are hereby superseded.
ARTICLE 12: ATTESTATION
AS WITNESS, the hands of the duly authorized representatives of the parties, the day and year first
above written; SIGNED AND DELIVERED FOR AND ON BEHALF FORAMEX PETROLEUM AND
CONSTRUCTION (FPC) ORAL MODIFICATIONS NOT BINDING. This Instrument is the entire
agreement of the FORAMEX PETROLEUM AND CONSTRUCTION (FPC) and the Employee. Oral
changes have no effect. It may be altered only by a written agreement Signed by the party against
whom enforcement of any waiver, change, modification, extension, or discharge is sought.

7.2 If an interruption of work occurs as a result of "Force Majeure" for up to seven (7) days, 70% of
the basic daily fees shall be paid as standby.
However, if such suspension results in CONTRACTOR/EMPLOYER not being able to perform its duties
for more than seven (7) days, then FORAMEX PETROLEUM AND CONSTRUCTION may at its option
elect to continue the implementation of this Agreement at adjusted standby rates to be negotiated

by FORAMEX PETROLEUM AND CONSTRUCTION and CONTRACTOR/EMPLOYER or to terminate the
contract.
ARTICLE 8: TERMINATION
8.1 This Agreement may be terminated:
(1) If the services stated in Article 1 and are not rendered satisfactorily.
(2) If the duration of the Agreement stated in Article 2 expires and no extension is given.
(3) Under Force Majeure as stated in Article 7.0
ARTICLE 9: DEFAULT OF CONTRACTOR
9.1 In the event of default by CONTRACTOR or non-compliance by EMPLOYER with the terms and
conditions of this Agreement, FORAMEX PETROLEUM AND CONSTRUCTION shall give notice to
EMPLOYER specifying areas of default and EMPLOYER shall have ten (10) calendar days to rectify to
FORAMEX PETROLEUM AND CONSTRUCTION satisfaction, the said default(s). If EMPLOYER does not
rectify FORAMEX PETROLEUM AND CONSTRUCTION satisfaction, the said default(s) within ten (10)
days of receipt of the notice, FORAMEX PETROLEUM AND CONSTRUCTION may proceed with
termination of this Agreement subject only to settlement of all payments due and outstanding at the
time of termination.
ARTICLE 10: ADDRESSES FOR NOTICE
All notices and other communication required to be given hereunder by one party to the other shall
be in writing and shall be sufficiently given if sent by post, faxed or delivered by hand to the
addresses hereunder.

Notice shall be deemed to have been properly given if delivered by hand or registered post, fourteen
(14) days after dispatch or postage.
ARTICLE 11: ENTIRE AGREEMENT
This Agreement embodies the entire understanding of the parties hereto and any prior
representation or arrangements are hereby superseded.
ARTICLE 12: ATTESTATION
AS WITNESS, the hands of the duly authorized representatives of the parties, the day and year first
above written; SIGNED AND DELIVERED FOR AND ON BEHALF FORAMEX PETROLEUM AND
CONSTRUCTION (FPC) ORAL MODIFICATIONS NOT BINDING. This Instrument is the entire
agreement of the FORAMEX PETROLEUM AND CONSTRUCTION (FPC) and the Employee. Oral
changes have no effect. It may be altered only by a written agreement Signed by the party against
whom enforcement of any waiver, change, modification, extension, or discharge is sought.
